1. Acceptance of Terms

By accessing and using Don Marton Studio ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our Service.

Don Marton Studio is a service operated by WOSA Group Corporation, a Canadian corporation based in Vancouver, British Columbia. By using the Service, you agree to comply with all applicable local, provincial, and federal laws.

Note: Payments will appear on your bank statement as "DON MARTON STUDIO" and receipts will show WOSA Group Corporation.

2. Description of Service

Don Marton Studio is an AI-powered music creation platform that provides:

• The Writing Room: AI-assisted lyric writing using Mistral Nemo
• The Studio: AI music generation using ACE-Step with custom LoRA models
• The Mixer: Stem separation and audio mixing tools

3. Account Registration

To use the Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these terms.

4. Studio Time and Payments

4.1 Subscription Plans

We offer monthly subscription plans with allocated studio hours:

• Jam Session (Free): Unlimited lyrics + 10-minute trial (3 songs)
• Session Player ($19/month): 25 hours/month
• House Band ($49/month): 80 hours/month
• Studio Patron ($99/month): Unlimited hours

4.2 Monthly Reset Policy

Unused studio hours expire at the end of each billing cycle and do not roll over to the next month. You may purchase additional one-time packages if you need more time before your renewal date.

4.3 Billing and Cancellation

• Subscriptions are billed monthly through Stripe
• You may cancel anytime through your account's Billing Portal
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial months

4.4 Spark Fund Donations

Donations to "The Spark" GPU fund are voluntary contributions toward purchasing hardware to improve our AI models. Donations are non-refundable.

5. Content Ownership and Rights

5.1 Your Content

You retain ownership of the lyrics you write and the creative direction you provide. The AI-generated music is created using your inputs and our technology.

5.2 License to Generated Content

• Free tier: Personal use only
• Session Player & House Band: Personal and non-commercial use
• Studio Patron: Commercial license included for songs you create

5.3 Platform Rights

By making content public on our platform (public profiles, albums), you grant us a non-exclusive license to display and distribute that content within the Service.

5.4 AI Training License

By using the Service, you grant Don Marton Studio a non-exclusive, worldwide, royalty-free license to use your lyrics, prompts, and generated content to improve and train our AI models. This content is anonymized before use. This license helps us improve the quality of music generation for all users.

6. Acceptable Use

While we support creative freedom, you agree NOT to use the Service to:

• Create content that infringes on others' copyrights or trademarks
• Impersonate other artists or individuals
• Distribute malware or attempt to hack the platform
• Resell or redistribute the Service itself
• Use automated systems to abuse the Service

We do not monitor or censor creative content, but we reserve the right to remove content that violates these specific terms.

7. Referral Program

Our referral program rewards you for inviting friends:

• Both referrer and referee receive 30 minutes of bonus studio time
• Bonus is credited when the referred user subscribes to a paid plan
• Self-referrals are not permitted
• We reserve the right to modify or discontinue the program

8. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free service
• Specific quality or characteristics of AI-generated content
• That the Service will meet all your requirements

AI music generation is experimental technology. Results may vary.

9. Limitation of Liability

To the maximum extent permitted by law, Don Marton Studio shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Changes to Terms

We may update these terms from time to time. We will notify users of significant changes via email or prominent notice on the platform. Continued use after changes constitutes acceptance.

11. Governing Law

These terms are governed by the laws of Canada. Any disputes shall be resolved in the courts of British Columbia, Canada.
